These Terms and Conditions (“Terms”) govern your access to, and use of the websites, platforms, applications, products and services provided by PvX Partners Pte. Ltd. (“PvX”, “we”, “us” or “our”), including services provided through or in conjunction with applicable PvX group entities.

Our business activities include user acquisition financing and other financing solutions, card and payment-related programmes, predictive analytics, financial modelling, business intelligence and related technology services, including PvX Lambda and PvX Delta (collectively, the “Services”).

By accessing, browsing, registering for or using our websites or Services, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue their use.

1. Acceptance of Terms

1.1 By accessing or using our websites or Services, you confirm that you have read, understood and agree to be bound by these Terms and all applicable laws and regulations.

1.2 Where you access or use our Services on behalf of an organisation, you represent and warrant that you have the necessary authority to bind that organisation to these Terms.

1.3 Certain Services, including financing facilities, card programmes and enterprise technology services, may require separate agreements. Such agreements govern the relevant commercial arrangements and prevail over these Terms to the extent of any conflict concerning those arrangements.

1.4 Nothing in these Terms, or your access to our Services, establishes a financing, investment, advisory, fiduciary or other regulated relationship unless expressly provided under a separate agreement.

1.5 PVX Capital Pte. Ltd. provides regulated services only where expressly identified, where lawfully permitted and under separate documentation where required. Nothing on or made available through the Services constitutes an offer, invitation or solicitation to subscribe for or acquire any interest in a fund, collective investment scheme, security or other capital markets product. Any licence or regulatory status held by PvX or an affiliate does not constitute approval, endorsement or recommendation by the Monetary Authority of Singapore of the Services, any output, financing or investment opportunity.

2. Changes to Terms

2.1 We reserve the right, at our sole discretion, to modify, amend or replace these Terms at any time.

2.2 The most current version will be published on our website with the applicable “Last Updated” date.

2.3 Your continued access to or use of our websites or Services following publication of changes constitutes acceptance of the revised Terms, subject to applicable law.

2.4 Changes to these Terms do not retrospectively amend separately executed financing, card-programme or other definitive agreements unless expressly agreed by the relevant parties.

3.5 Service Eligibility: PvX may restrict or decline access to any Service based on eligibility, jurisdiction, risk assessment, regulatory requirements or other legitimate business considerations.

3.6 Access to our Services does not guarantee eligibility for financing, card issuance, payment facilities or any other financial arrangement.

4. User Accounts

4.1 Account Creation: Certain Services require account registration or onboarding. You agree to provide accurate, current and complete information and promptly update it when necessary.

4.2 Verification: PvX may request additional information or documentation for identity verification, KYC, KYB, AML/CFT, sanctions screening, financing assessments, fraud prevention and regulatory compliance.

4.4 You must immediately notify PvX of suspected or actual unauthorised access, misuse, security incidents or breaches affecting your account.

4.5 We reserve the right to restrict, suspend or disable accounts where necessary to protect our Services, enforce these Terms or comply with applicable legal or regulatory requirements.

5. Intellectual Property Rights

5.1 Ownership: All text, graphics, logos, trademarks, images, audio, digital downloads, software, algorithms, predictive models, databases, data compilations, analytical methodologies, dashboards, reports and other proprietary materials made available through our websites or Services (collectively, “PvX Content”) are owned by PvX or its licensors and protected by applicable intellectual property laws.

5.2 Limited Licence: Subject to compliance with these Terms and applicable service agreements, PvX grants authorised users a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the relevant Services for permitted business purposes.

5.3 Restrictions: Except with our express written permission, you may not copy, reproduce, distribute, modify, publish, commercially exploit, resell or create derivative works from PvX Content.

5.4 These restrictions expressly include unauthorised data extraction, scraping, reverse-engineering, systematic reproduction of databases or analytical outputs, and attempts to replicate our algorithms, software or proprietary methodologies.

5.5 You may not use PvX Content, datasets, models or analytical outputs to train, fine-tune or develop competing artificial intelligence, machine-learning, financial-modelling or analytics products without our prior written approval.

5.6 Ownership of User Content remains with the relevant rights holder, subject to the licences and rights granted under Section 6.

5.7 No right, title or interest in PvX intellectual property is transferred except as expressly stated in these Terms or another written agreement.

6. User Content and Data Usage

6.1 User-Uploaded Content

“User Content” means any information, data, documents, records, files, materials or other content uploaded, posted, submitted, transmitted, integrated, connected or otherwise made available to PvX through our websites, platforms, applications or Services.

in each case, subject to Sections 6.3 and 6.5 and any applicable separately executed agreement.

This licence is perpetual and irrevocable and survives termination or expiry of your access to our websites or Services. Processing and retention of identifiable personal data under this licence shall remain subject to applicable data protection laws, including applicable retention and erasure requirements. Anonymised Data and aggregated information may be retained and commercially used indefinitely in accordance with Section 6.6.

6.3 Limitations on External Data Sharing

PvX may use User Content for the purposes permitted under Section 6.2. We will not disclose identifiable User Content to external parties except:

Where required or permitted by applicable law, court order, governmental authority, regulator or other legally authorised process;

Where necessary to establish, exercise, enforce or protect PvX's legal rights;

Where you have otherwise expressly authorised the disclosure.

Such authorised disclosures may include sharing with lenders, BIN sponsors, card issuers, payment processors, card networks, programme administrators and other third-party service providers where specifically provided for under the relevant agreements and necessary for the agreed services.

6.4 Warranty of Rights

You represent and warrant that you own or otherwise control all necessary rights, licences, permissions and authorisations to provide User Content and grant the licence described in these Terms.

You further warrant that providing and authorising the use of User Content does not violate applicable laws, intellectual property rights, confidentiality obligations, privacy rights or other third-party rights.

Where User Content contains personal data, you are responsible for ensuring that appropriate notices, permissions, consents or other lawful grounds exist for its disclosure and authorised processing.

6.5 Data Protection and Confidentiality

PvX processes personal data in accordance with applicable data protection legislation and its Privacy Policy.

The licence under Section 6.2 does not override mandatory statutory privacy rights, legally imposed purpose restrictions or applicable confidentiality obligations.

Specific confidentiality, data-processing and retention obligations contained in separately executed agreements remain applicable to the relevant Services.

6.6 Anonymised and Aggregated Data

PvX may create, retain, process, use, license, distribute and commercialise anonymised information, aggregated datasets, derived insights, benchmarks, statistical outputs and analytical products generated from User Content.

Such information may be retained indefinitely where it does not reasonably identify the relevant individuals or originating customers and where applicable legal and contractual requirements are satisfied.

6.7 Accuracy of User Content

You are responsible for the accuracy, completeness, legality and reliability of User Content.

PvX may rely on information provided by you when performing analytics, forecasting, financial assessments, underwriting and other business activities, without independently verifying every underlying data point.

6.8 Data Scraping Prohibited

You agree not to use robots, spiders, scrapers, automated extraction tools or similar technologies to access, copy, harvest or extract data from our websites, platforms or Services for any purpose without our express written permission.

18.8 PvX may develop, modify, improve, retrain and commercialise its analytical models, algorithms and associated technologies using data and information it is legally and contractually authorised to process.

18.9 These provisions apply whether analytical capabilities are used internally by PvX, provided as part of financing services, or made available to customers through platforms, APIs, software subscriptions or other technology services.

19. Entire Agreement

19.1 These Terms, together with our Privacy Policy and any expressly incorporated service-specific terms, constitute the entire agreement between you and PvX concerning access to and use of our general websites and Services.

19.2 These Terms supersede all prior or contemporaneous understandings, representations, discussions and agreements, whether written or oral, concerning that subject matter, except for separately executed agreements expressly governing particular services or commercial arrangements.

19.3 Separately executed financing, card-programme, payment, software, data-processing and other definitive agreements remain binding and take precedence over these Terms concerning the matters they specifically govern.
